PROGRAM DESCRIPTION:

Companies that acquire, merge with, or spin off to another company face myriad issues concerning their employees – especially when the personnel policies and practices of the former employer differ from and perhaps conflict with the new employer.  What kind of notice must be given to employees?  What happens to individual employment contracts?  Collective bargaining agreements?  Does it matter if one company is unionized and the other is not?  In addition to these issues, speakers from across Latin America will highlight the similarities and differences among their various jurisdictions when mergers and acquisitions take place locally, and offer practical guidance on the following: 

  • How to identify and address all of the key employment and labor law issues before the transaction takes place
  • What unilateral changes the new employer can make to wages, benefits, and other terms and conditions of employment
  • What legal rights and guarantees can’t be waived when an acquisition occurs
  • What liabilities remain with the former employer
  • How to work effectively with a labor union during one of these transactions
